NSE Mandates XBRL-Based Filing for Code of Conduct Violations under SEBI PIT Regulations

The Securities and Exchange Board of India, vide Circular No. SEBI/HO/ISD/ISD/CIR/P/2020/135 dated July 23, 2020, had prescribed the format for reporting violations of the Code of Conduct under the SEBI (Prohibition of Insider Trading) Regulations, 2015. Building on this framework, the National Stock Exchange of India has now introduced a structured XBRL-based utility for reporting such violations, effective May 05, 2026, with the objective of enhancing accuracy and efficiency in disclosures.

This circular is addressed to all Listed Companies, Intermediaries, and Fiduciaries who are required to report violations of the Code of Conduct under the SEBI (Prohibition of Insider Trading) Regulations, 2015.

All listed entities are required to submit their reporting exclusively through the NEAPS platform using the following paths:

- To download the XBRL utility: NEAPS > Compliance > Download XBRL Utilities

- To submit the filing: NEAPS > Compliance > Common XBRL Upload > Violation of Code of Conduct under SEBI (PIT) Regulations, 2015

Key Compliance Requirements

- Listed entities are required to file exclusively in XBRL mode. No PDF submission is required or accepted alongside the XBRL filing.

- Disclosures pertaining to Code of Conduct violations will not be disseminated on the Exchange website.

- Submissions made through any mode other than NEAPS will not be taken on record and shall be treated as invalid.

Position of Unlisted Intermediaries and Fiduciaries

Any unlisted entity reporting in the capacity of an Intermediary or Fiduciary is not covered under this XBRL framework. Such entities shall continue to submit their disclosures via email at pit_coc@nse.co.in, in accordance with Exchange Circular No. NSE/CML/2020/44 dated August 26, 2020.

Action Points for Compliance Teams

- Register and access the XBRL utility through NEAPS at the earliest.

- Ensure all future Code of Conduct violation reports are filed only through NEAPS in XBRL format.

- Discontinue any alternative modes of submission with immediate effect.

- Unlisted intermediaries and fiduciaries must continue the existing email-based disclosure process.
